These Terms & Conditions ("Terms") govern your access to and use of www.501advance.com (the "Site") and the services offered by 501 Advance ("501 Advance," "we," "us," or "our"). By accessing the Site, submitting an application, or using our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.
1. About 501 Advance
501 Advance is a direct funder that provides working capital and business funding solutions to commercial businesses. Our products are offered solely for business and commercial purposes and are not offered for personal, family, or household purposes.
2. Eligibility
To apply for or use our services, you must be at least 18 years of age, be applying on behalf of a legally formed business, and have the authority to bind that business. By submitting an application, you represent that all information you provide is true, accurate, and complete, and that you are authorized to provide it.
3. Applications; No Guarantee of Funding
Submitting an application or inquiry does not obligate 501 Advance to provide funding and does not constitute a commitment or offer by us. All applications are subject to our review, underwriting, and approval. We may approve, decline, or request additional information in our sole discretion. Any funding is governed by a separate written agreement signed by the parties, the terms of which control over any general information on the Site.
4. Nature of Our Products
Our funding products may include purchases of future receivables, merchant cash advances, and other commercial financing arrangements. The specific structure, pricing, and terms of any transaction will be set forth in the applicable funding agreement. Information on the Site is for general informational purposes and is not an offer, solicitation, or commitment to enter into any specific transaction.
5. Authorization to Verify Information
By submitting an application, you authorize 501 Advance and its agents, funding partners, and service providers to: (a) verify the information you provide; (b) obtain consumer and commercial credit reports and other background information about you and your business; (c) contact your bank, payment processor, references, and other third parties to verify information; and (d) obtain and review your business bank and processing statements. This authorization continues for as long as you have an active application or funding relationship with us.
6. Communications Consent
By providing your telephone number(s) and email address, you consent to receive telephone calls, text/SMS messages, and emails from 501 Advance and our representatives, including through automatic telephone dialing systems and prerecorded or artificial voice messages, at the numbers and addresses you provide, even if a number is on a Do-Not-Call list. Consent is not a condition of receiving funding. Message and data rates may apply. You may opt out of marketing communications as described in our Privacy Policy (reply STOP to text messages; use the unsubscribe link in emails).
7. Use of Funding Partners
501 Advance may work with, refer applications to, or participate with third-party funders, syndicators, banks, and capital partners. You acknowledge that information you provide may be shared with such parties as described in our Privacy Policy in connection with evaluating, funding, or servicing your account.
8. Acceptable Use of the Site
You agree not to use the Site for any unlawful purpose; to interfere with or disrupt the Site or its security; to submit false, misleading, or fraudulent information; to attempt to gain unauthorized access to any portion of the Site; or to use any automated means to access or scrape the Site without our permission.
9. Intellectual Property
The Site and its content, including text, graphics, logos, and trademarks, are owned by or licensed to 501 Advance and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Site without our prior written consent.
10. Third-Party Links and Content
The Site may contain links to third-party websites and resources. We provide these links for convenience and do not endorse and are not responsible for the content, products, or practices of any third party.
11. Disclaimer of Warranties
THE SITE AND ALL INFORMATION, CONTENT, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, 501 ADVANCE AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR OUR SERVICES, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify, defend, and hold harmless 501 Advance and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
14. Governing Law
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute not subject to arbitration shall be the state and federal courts located in the State of New York, and you consent to the personal jurisdiction of those courts. Disputes relating to any specific funding transaction are governed by the dispute-resolution and governing-law provisions of the applicable funding agreement, which control over these Terms.
15. Dispute Resolution; Arbitration
Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Site that cannot be resolved informally shall be resolved by binding arbitration administered in accordance with applicable arbitration rules, on an individual basis. You and 501 Advance waive any right to a jury trial and to participate in a class action with respect to such disputes. This Section does not limit either party's right to seek injunctive or equitable relief in a court of competent jurisdiction.
16. Changes to These Terms
We may modify these Terms at any time by posting the revised version on the Site with an updated Effective Date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
17. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and any applicable funding agreement, constitute the entire agreement between you and 501 Advance regarding the Site and supersede any prior understandings on that subject.
